Repocket Payment and Rewards Policy

This Payment and Rewards Policy ("Policy") governs how Repocket Pte. Ltd. ("Company," "we," "us," or "our") records, calculates, displays, withholds, processes, adjusts, reverses, and forfeits Earnings and Payouts associated with participation in the Services offered under “Repocket” brand.

This Policy forms part of, and must be read together with, the Repocket Terms of Service ("Terms"). Capitalised terms used but not defined here have the meanings given in the Terms. In the event of any inconsistency between this Policy and the Terms on matters of Earnings, Payouts, reversals, dormancy, or failed withdrawals, this Policy controls to the extent of the inconsistency.

By accessing or using the Services or participating in any earning or payout activity, you agree to this Policy. We may update this Policy from time to time. Where a change is material, we will provide reasonable advance notice by posting the updated Policy on the website, through the dashboard, by email, or by other reasonable means. Your continued use of the Services or participation in earning or payout activity after the effective date of an updated Policy constitutes your acceptance of that update.

1. DEFINITIONS.

Capitalised terms used in this Policy have the meanings set out below, or the meanings given in the Terms where not defined here.

1.1 "Earnings" means any credits, rewards, balances, or monetary amounts attributed to your Account through the Services, whether or not yet confirmed, approved, or payable, and subject to the conditions set out in this Policy.

1.2 "Withdrawal Threshold" means the minimum balance of Earnings required before a Payout request may be submitted or processed for a given payout method.

1.3 "Partner" means any third-party customer, network participant, or commercial partner that purchases, consumes, or otherwise accesses bandwidth or other Services through the Company.

1.4 "Payment Provider" means any third-party payment processor, crypto network, exchange, wallet provider, bank, transfer service, or other financial or payout intermediary used in connection with Payouts.

1.5 "Payout" means a transfer, disbursement, or other release of Earnings from your Account to a supported payment destination through a Payment Provider, subject to the eligibility conditions in this Policy.

1.6 "Verification" means any identity, ownership, compliance, anti-fraud, sanctions, or anti-money-laundering review or confirmation process that we may require before approving or processing Earnings or Payouts.

2. EARNING.

The Services may allow eligible users to earn Earnings through bandwidth sharing and any other earning features that we may make available from time to time. The fact that your Account is active, the software is installed, or bandwidth sharing is enabled does not guarantee that any traffic will be routed, that any demand will exist, or that any Earnings will accrue. Eligibility to earn depends on multiple factors, which may include:

  • your Account is active and in good standing;
  • you are in compliance with the Terms, this Policy, and any other applicable policy or requirement;
  • you have reached the applicable Withdrawal Threshold for the selected payout method;
  • you have provided complete, accurate, and current payout information;
  • any required Verification or compliance review has been completed to our satisfaction;
  • the requested Payout method is available, supported, and legally permissible for your jurisdiction; and
  • no hold, restriction, investigation, or enforcement action applies to your Account, Earnings, or requested Payout.

Nothing in this Policy obliges us to offer any particular earning opportunity, maintain any earning feature, or support any specific reward model for any period of time.

3. CALCULATION OF EARNINGS.

Under our current operating model, Earnings are calculated primarily on a per-gigabyte basis, meaning amounts may be attributed based on the volume of qualifying bandwidth shared through the Services. Earnings calculations may also depend on:

  • traffic demand and commercial value;
  • region or geography of the traffic;
  • IP quality or network quality signals;
  • Partner requirements and commercial arrangements;
  • technical validation and reconciliation; and
  • fraud or abuse screening outcomes.

We reserve the right to modify, replace, or discontinue any Earnings formula, rate, pricing logic, allocation method, or reward structure. Where we decide to make a material change to the calculation method or rates, we will notify users in advance of the updated structure taking effect. Such changes are effective from the date we specify and apply to activity from that date forward, unless we state otherwise.

4. DISPLAYED EARNINGS

Earnings figures shown in your Account dashboard or elsewhere in the Services may be estimated, delayed, incomplete, provisional, or subject to later adjustment. A displayed balance does not itself create an immediate right to payment. Displayed amounts do not become final or withdrawable merely because they appear in the dashboard or have been visible for any period of time. Withdrawal of any displayed balance remains subject to the payout eligibility conditions in Section 5, any applicable holds or restrictions under Section 7, and any verification or compliance requirements under Section 6.

5. COMPLIANCE CHECKS

We may require Verification or additional compliance review before approving, processing, or completing any Payout, or at any other time we consider appropriate. Verification may include:

  • confirmation of Account ownership and identity;
  • confirmation of control or authorisation over payment destinations;
  • fraud, abuse, security, sanctions, anti-money-laundering, or risk screening;
  • review of usage patterns, traffic quality, or Account history; and
  • any other information or documentation we reasonably request to protect the Services, comply with law, or prevent misuse.

You agree to provide accurate, current, and complete information in connection with any Verification or compliance request. If you fail to complete Verification, provide requested information, or satisfy a compliance review to our satisfaction, we may deny, delay, suspend, or cancel a Payout request, place a hold on Earnings, or restrict your Account. We are not obligated to disclose the detailed criteria, thresholds, or internal methods used in Verification, fraud review, or compliance screening.

6. HOLDS AND DELAYS

We may place a hold on Earnings or delay or withhold any Payout, in whole or in part, where we determine or reasonably suspect that doing so is necessary or appropriate. This may apply where:

  • fraud, abuse, manipulation, or unauthorised use is suspected
  • your Account is under investigation or review;
  • Verification or compliance checks are incomplete or unsatisfactory;
  • payout details are missing, inaccurate, unsupported, or inconsistent;
  • unusual Account behaviour, traffic patterns, payout behaviour, or activity is detected;
  • a Partner, Payment Provider, or internal system identifies a quality, risk, security, or integrity issue;
  • legal, regulatory, sanctions, or law-enforcement concerns arise; or
  • technical, accounting, reconciliation, or operational issues make immediate payout inappropriate.

A hold may be temporary or indefinite and may apply to all or part of your Earnings, requested Payouts, Account functionality, or payment options. We are not liable for any loss, delay, or consequence arising from any hold, delay, or withholding action taken in accordance with this Policy or the Terms.

7. REVERSALS

We reserve the right to reverse, adjust, reduce, cancel, or permanently forfeit any Earnings at any time where we determine, or reasonably suspect, that such action is necessary or appropriate. This may occur where:

  • Earnings were generated through fraud, abuse, manipulation, or other conduct prohibited under the Terms or this Policy;
  • the relevant activity was invalid, duplicated, unauthorised, commercially unusable, or technically unreliable;
  • a reporting, calculation, allocation, or accounting error occurred;
  • a Payout was issued in error or based on inaccurate or incomplete information; or
  • forfeiture applies under this Policy, including in relation to dormancy.

Unless we expressly state otherwise, all displayed Earnings remain subject to adjustment until finally paid out and fully cleared through the applicable payout process.

8. QUALITY DISPUTES

Where a Partner disputes the quality of traffic, we handle such disputes directly with the Partner. Under our current operating model, adjustments or credits issued to Partners as a result of traffic quality disputes are generally absorbed by the Company and are not ordinarily passed through to users as Earnings clawbacks. Nothing in this Policy obliges ugenerally absorbed by the Company and are not ordinarily passed through to userss to continue this practice in any particular case. We retain the right to withhold, adjust, or reverse Earnings where disputed traffic, invalid activity, technical failures, or quality issues affect the underlying basis for those Earnings.

9. DORMANT ACCOUNT AND UNCLAIMED BALANCE.

An Account may be treated as dormant if it has had no qualifying login, Payout, bandwidth-sharing, or other recognised Account activity for a continuous period of twelve (12) months, or such other period as we may specify from time to time. If an Account becomes dormant, we may:

  • restrict or close the Account;
  • classify any remaining unpaid balance as unclaimed; and
  • forfeit unpaid Earnings associated with the dormant Account.

Where reasonably practicable, we will attempt to notify the user before taking action on a dormant Account, but we are not obligated to provide notice unless required by applicable law.

10. PAYMENT

Once your Account has Earnings that meet all applicable eligibility requirements, you may request a Payout through the process made available by us. Submission of a Payout request does not guarantee approval, processing, or successful completion. All Payout requests remain subject to review, validation, and applicable compliance or fraud-prevention checks.

We may support one or more Payout methods from time to time, which may include crypto wallet transfers, exchange-linked payouts, bank or transfer services, or other methods made available through the Services. Supported Payout methods may vary by jurisdiction, Payment Provider availability, regulatory restrictions, technical feasibility, and internal risk controls. We may add, suspend, remove, limit, or replace any Payout method at any time without prior notice. You are solely responsible for:

  • selecting a supported Payout method;
  • ensuring that your destination wallet, account, address, or other payment details are accurate and complete;
  • ensuring that you are legally permitted to use the selected Payout method; and
  • complying with any terms, policies, restrictions, or fees imposed by the relevant Payment Provider.

We are not responsible for any loss, delay, failed transfer, misdirected transfer, rejection, or other issue caused by inaccurate payment details, unsupported destinations, third-party provider policies, or blockchain or network conditions.

11. WITHDRAWAL THRESHOLD

You may request a Payout only after your Account has reached the Withdrawal Threshold applicable to the selected payout method, as displayed through the Services. We may change the Withdrawal Threshold at any time. Changes will be reflected through the website, dashboard, or other Service interface and will apply from the effective date specified. If your Account balance is below the applicable threshold, you may not submit a Payout request for that balance unless we expressly allow otherwise.

12. DEDUCTIONS

We may impose, pass through, deduct, or net out fees, charges, costs, or adjustments associated with Payouts, transfers, or processing, to the extent permitted by law. Such fees or deductions may include blockchain or network transaction fees, Payment Provider processing fees conversion, intermediary, banking fees or any similar fees. Unless we expressly state otherwise, you are responsible for fees associated with your chosen Payout method. We may deduct applicable fees directly from your Earnings or Payout amount before processing. We are not responsible for reimbursing additional fees or deductions imposed by Payment Providers, blockchain networks, or other intermediaries after a Payout leaves our control.

13. TAXES

You are solely responsible for determining, reporting, and paying any taxes, duties, levies, or similar governmental charges that may arise from your use of the Services or your receipt of any Earnings or Payouts, except to the extent that applicable law requires the Company to collect, withhold, remit, or report such amounts. We may, where required by law or where we reasonably determine it is necessary, withhold, deduct, collect, or report amounts in connection with your Earnings or Payouts. You agree to provide any tax-related information, forms, declarations, or documentation that we or a Payment Provider may reasonably request. We make no representation or warranty regarding the tax treatment of any Earnings or Payouts.

14. PAYMENT ANTI-CIRCUMVENTION

You may not engage in any conduct intended to manipulate, bypass, or exploit this Policy or the payout process. For the purposes of this Policy, prohibited payment conduct includes, without limitation:

  • directing Payout requests from multiple Accounts to the same wallet address, bank account, exchange account, or other payment destination, in a manner intended to conceal linked Accounts or circumvent controls;
  • submitting false, misleading, stolen, or unauthorised payout information;
  • artificially manipulating displayed Earnings, account balances, or threshold status to trigger or accelerate a Payout;
  • attempting to obtain duplicate Payouts or duplicate credits for the same activity;
  • structuring Payout requests in a manner intended to mislead our systems or Payment Providers; and
  • assisting or facilitating any of the above.

If we determine, or reasonably suspect, that you have engaged in payment abuse or circumvention, we may take any action permitted under the Terms or this Policy, including withholding or reversing Earnings, cancelling Payouts, restricting future payment activity, and suspending or terminating your Account.
